Terms and Conditions of Use
This document sets up the contract conclusion procedure and the terms of contract between You (hereinafter referred to as "You" or "Developer") and Navi Limited Liability Company on the use of the Naviaddress Platform API available at (hereinafter - "Platform") for the development and operation of your Application (see below).

The Platform is a set of tools and programming interfaces that allow you to communicate with it and use the functionality of the Platform in the Applications (see below) as defined at

Use of the Platform shall be deemed to constitute the Developer's consent to the following Terms and Conditions of Use (hereinafter referred to as "Terms and Conditions", "these Terms and Conditions").

1. Start-up procedure for using the Platform

1.1. To start using the Platform the Developer should register, create an account and register a website, application software (for a computer or other devices) that then will communicate with the Platform at software level (hereinafter referred to as the "Application") at and get a unique API key.

1.2. Navi can deny registration of any Developer's Application on the Website, reject API key request and, consequently, restrict further use of the Platform without any refund or reimbursement related thereto.

1.3. Both legal entities and individuals may be end users of the Application.

1.4. At any time (including the Application registration stage) Navi is entitled to deny the Application Developer access to the Platform without any refund or reimbursement related thereto.

2. License

2.1. Upon registration the User is granted a simple (non-exclusive) license for using the Platform under the following Terms and Conditions.

2.2. Navi grants the Developer worldwide, non-exclusive, non-sublicensible license to use, copy, modify, merge source and object codes of the Platform to create the Application; (for public display, public performance and non-commercial distribution of the Application to end users; and providing end users with the right to use the Platform for the Applications in accordance with these Terms and Conditions) for two years from the date of generating a unique API key.

2.3. Navi reserves the right to modify, change, update and / or improve the Platform at any time with or without notice to the Developer.

2.4. Unless provided otherwise upon registration, the Developer shall not make any payments or other contributions (royalties) for the distribution and use of the Application.

2.5. Navi provides the Developer with the Platform source code that allows to create Applications. Navi retains all copyrights and intellectual property rights in relation to the Platform.

2.6. The User is entitled to use the Platform and the Products based on it strictly within the limits of the Platform functionality as stated on the website

2.7. The rights and uses of the Platform, not explicitly allowed / granted to the User under these Terms and Conditions, are considered to be not granted / restricted by Navi.

2.8. When demonstrating the Application, the references to Navi should be made, including the following text "Data is provided by Naviaddress" or another similar phrase agreed with Navi.

3. Rights and Right holders

3.1. Navi has the exclusive right to the Platform. These Terms and Conditions do not grant the Developer rights to use the functionalities of the Platform other than provided directly in the interface of the Platform in accordance with these Terms and Conditions.

3.2. Using the platform, the Developer authorizes Navi to use the logo, trademark and / or brand name of the Developer for informational, advertising and marketing purposes, related to the Platform with no additional consent of the User's and without remuneration for such use.

4. Rights and Obligations of Navi

4.1. The platform is provided "as is" without any warranty given by Navi.

4.2. Navi makes no warranties that the Platform software, servers and computer networks used by the Platform are free from errors and computer viruses. Navi is not responsible for data loss or damage to equipment caused by the use of the Platform.

4.3. On reasonable grounds, including in case of violation of these Terms and Conditions, Navi is entitled, at its own discretion, at any time and without notice, to suspend or terminate the use of the Platform or its certain functions by the Developer, the unique key provided upon registration of the relevant Application.

4.4. Navi has the right at any time, at its own discretion and without notice to the Application Developer, to make modifications to the Platform (its functionality, specifications and use requirements, interface, etc.).

4.5. Navi may at any time, at its discretion, introduce fees for use of the certain functionalities of the Platform.

4.6. Access to the certain functionalities of the Platform may be restricted by Navi. The rules and procedure for using such API functionality is determined by Navi. Navi has the right to refuse any Developer and / or any Application to use the certain functionality of the Platform, access (access capability) to which is restricted by Navi.

4.7. Navi has the right to independently determine specifications for use by the Platform Application Developer.

4.8. Navi does not represent and warrant the compliance of the Platform with the purposes and expectations of the Developer, trouble-free and error-free operation of the entire Platform and its individual components and / or functions.

4.9. Navi is not liable and does not indemnify for any losses, including any damages, direct or indirect, caused to the Developer or another Platform user or third parties as a result of using or unavailability of the Platform, its individual components and / or functions.

5. Rights and obligations of the Application Developer

5.1. The Developer is responsible for the use, integrity and confidentiality of the received unique API key, used to access the Platform.

5.2. The Application Developer is not entitled to use the Platform in a manner that infringe the rights and legitimate interests of Navi and third parties, personal data regulations, any other legislation of the Russian Federation and other countries, as well as the requirements of these Terms and Conditions.

5.3. The use of any data received through the Platform is not allowed for any purposes other than for the registered Application.

5.4. The Application Developer is not entitled to use the Navi trademarks and the company name in the Application.

5.5. The Developer shall not misrepresent its Application (s) as application of Navi or in any other way mislead the end users of the Application regarding the Application developer or owner (copyright holder).

5.6. The Developer is not allowed to collect, store or in any other way handle account data (logins and passwords) of the Platform users, particularly by means of the Platform or the Application.

5.7. The Application Developer is not entitled to edit, decompile and / or in any other way modify the Platform or any of its components, including the source code.

5.8. The Application Developer is not entitled to use the Platform in order to create websites / applications that violate the laws of the Russian Federation or other applicable laws, rights and legitimate interests of the third parties.

5.9. The Developer agrees and undertakes to insert a hyperlink to these Terms and Conditions to the Application.

6. Other terms and conditions

6.1. Navi may at any time, at its own discretion and without the consent of the Application Developer, make changes to these Terms and Conditions. In such a case, changes and amendments become effective on the date they're posted on the website

6.2. Further use (as well as exercise of the rights and obligations according to these Terms and Conditions) by the Developer after any changes to these Terms and Conditions means the Developer accepts and agrees with such changes and / or amendments.

6.3. If the Application Developer does not agree to use the Platform after making changes to these Terms and Conditions and / or accordingly comply with these Terms and Conditions upon changes, the Application Developer undertakes to discontinue use of the Platform.

6.4. These Terms and Conditions, as well as the relationship between the Developer and Navi, including those not governed by these Terms and Conditions, are subjected to the current legislation of the Russian Federation.

6.5. if it is found impossible to resolve disputes between the Application Developer and Navi through negotiations, they must be settled by the court at the place of state registration of Navi pursuant to the procedure established by the applicable remedial legislation of the Russian Federation. Provided that a written claim (complaint) is submitted no later than 30 running days before applying to the court.
